If an emerging growth company, indicate by check mark if the registrant has elected not to use the extended transition period for complying with any new or revised financial accounting standards provided pursuant to Section 13(a) of the Exchange Act. o As described in a Current Report on Form 8-K that was filed by MariaDB plc, an Irish public limited corporation (the “Company”), with the U.S. Securities and Exchange Commission on February 20, 2024, on February 16, 2024, K1 Investment Management LLC (“K1”) publicly announced a non-binding indicative proposal (the “K1 Proposal”) to acquire the entire issued and to be issued share capital of the Company through K5 Private Investors, L.P., a fund controlled by K1.

On March 29, 2024, the Company announced that the Irish Takeover Panel consented to the request by the Company’s Board of Directors to extend the deadline by which K1 has to announce whether it intends to make an offer for the Company from 5:00 pm E.T. on March 29, 2024 to 5:00 pm E.T. on April 12, 2024.

A copy of the announcement dated March 29, 2024, is attached hereto as Exhibit 99.1, and incorporated herein by reference.

March 29, 2024 03:21 PM Eastern Daylight Time REDWOOD CITY, Calif. & DUBLIN--(BUSINESS WIRE)--The Board of MariaDB plc (NYSE: MRDB) (“MariaDB” or the “Company”) confirms that the Irish Takeover Panel has consented, at the request of the board of directors of the Company (the "Board") made in accordance with Rule 2.6(c) of the Irish Takeover Rules, to the extension to 5:00 pm (New York time) on Friday, April 12 , 2024 (the "Extended Deadline") of the deadline provided for in Rule 2.6(a) of the Irish Takeover Rules, by which K1 Investment Management LLC ("K1") is to either (i) announce a firm intention to make an offer for the Company in accordance with Rule 2.7 of the Irish Takeover Rules or (ii) announce that it does not intend to make an offer for the Company, in which case the announcement will be treated as a statement to which Rule 2.8 of the Irish Takeover Rules applies. The Board have requested this extension to facilitate ongoing discussions between the Company and K1, which the Board expects to be concluded before the Extended Deadline. The continued discussions may or may not lead to an offer being made for the entire share capital of the Company. There can be no certainty that any offer will be made. A further announcement will be made if and when appropriate. In accordance with Rule 2.6(a) of the Irish Takeover Rules, K1 is required, no later than the Extended Deadline to either (i) announce a firm intention to make an offer for the Company in accordance with Rule 2.7 of the Irish Takeover Rules or (ii) announce that it does not intend to make an offer for the Company, in which case the announcement will be treated as a statement to which Rule 2.8 of the Irish Takeover Rules applies.
