Item 7.01 Regulation FD Disclosure.

On October 14, 2025, D-Wave Quantum Inc. (“D-Wave”) announced its participation as a founder of Q-Alliance, defined in the Memorandum of Understanding signed in Como, Italy today as “The Birth of the World’s Most Powerful Quantum Hub.” The initiative empowers the region of Lombardy with new global infrastructure that leverages D-Wave’s leadership in quantum computing to support Italy’s Digital Transformation future. Q-Alliance aims to accelerate scientific discovery, industrial transformation, and digital sovereignty.

D-Wave views the formation of Q-Alliance as a historic milestone for the quantum computing industry. Rooted in the Italian Government’s strategic framework for digital and quantum technologies, it aligns with the priorities defined by the Interministerial Committee for Digital Transition and with the policy guidelines promoted by Undersecretary of State Senator Alessio Butti. According to D-Wave’s CEO, Dr. Alan Baratz, this is a historic moment for Italy and for the quantum industry, as Q-Alliance supports Italy’s mission to become a global epicenter of quantum leadership, accelerating breakthrough research, industrial innovation and the development of a quantum-ready workforce. He believes that D-Wave’s production-grade annealing quantum computing technology will serve as a critical component of Q-Alliance, fueling quantum application development and adoption now.
