Item 1.01. Other Events.
As previously disclosed, on October 30, 2023, SDCL EDGE Acquisition Corporation (the “Company”) held a special meeting of shareholders, at which the Company’s shareholders approved the proposal to amend the Company’s Amended and Restated Memorandum and Articles of Association to extend the date by which the Company must consummate an initial business combination from November 2, 2023 to March 2, 2024 (the “Extended Date”) and to allow the board of directors of the Company (the “Board”), without another shareholder vote, to elect to further extend the date to consummate an initial business combination after the Extended Date up to four times, by an additional month each time, up to July 2, 2024.
On February 27, 2024, the Board approved an extension of the date by which the Company must consummate an initial business combination from March 2, 2024 to April 2, 2024 (the “First Extension”). The First Extension is the first of four one-month extensions permitted under the Company’s Amended and Restated Memorandum and Articles of Association.
