Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Officers.
 
Departure of Andrew Dahlinghaus

On February 13, 2024, Andrew Dahlinghaus informed Skillz Inc. (the “Company”) of his decision to step down from his position as the General Counsel of the Company, effective as of March 10, 2024 (the “Effective Date”). Mr. Dahlinghaus will remain in his current role with the Company through the Effective Date to support the transition to his successor. Should a severance or extended compensation agreement be reached, an amended 8-K will be filed. The Company has commenced a search process for Mr. Dahlinghaus’ replacement and is committed to conducting this process as efficiently and expeditiously as possible.
