Item 8.01.
Other Events.
On April 19, 2024, DigitalBridge Group, Inc. (the “Company”) filed with the Securities and Exchange Commission (the “SEC”) a prospectus supplement (the “Prospectus Supplement”) to its prospectus dated April 3, 2023 (the “Prospectus”), which was included in the registration statement on Form S-3 (Registration No. 333-271089) filed with the SEC on April 3, 2023. The Prospectus Supplement relates to the resale of up to 8,236,140 shares of the Company’s Class A common stock, par value $0.01 per share (the “Class A common stock”), which were issued to the selling stockholders in exchange for the 5.75% Exchangeable Senior Notes due 2025, issued by DigitalBridge Operating Company, LLC in a private placement in July 2020, and supplements and amends the Prospectus.

An opinion of the Company’s counsel, Hogan Lovells US LLP, regarding the legality of the Class A common stock covered by the Prospectus Supplement described above is filed as Exhibit 5.1 hereto.

For purposes of this opinion letter, we have examined copies of such agreements, instruments and documents as we have deemed an appropriate basis on which to render the opinions hereinafter expressed. In our examination of the aforesaid documents, we have assumed the genuineness of all signatures, the legal capacity of all natural persons, the accuracy and completeness of all documents submitted to us, the authenticity of all original documents, and the conformity to authentic original documents of all documents submitted to us as copies (including pdfs). We also have assumed that the Shares will not be issued in violation of the ownership limit contained in the Company’s articles of amendment and restatement, as amended and the amended and restated bylaws of the Company. This opinion letter is based as to matters of law solely on the Maryland General Corporation Law, as amended. We express no opinion herein as to any other statutes, rules or regulations.
