Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard
On August 20, 2026, American Resources Corporation (the “Company”) received a letter from The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it is not in compliance with Nasdaq Listing Rule 5250(c)(1) due to the Company’s failure to timely file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2026 (the “June Form 10-Q”).
The notification has no immediate effect on the listing or trading of the Company’s common stock on The Nasdaq Capital Market. Previously, in connection with the Company’s failure to file its Quarterly Report on Form 10-Q for the quarter ended March 31, 2026 (the “March Form 10-Q”), Nasdaq had granted the Company until October 15, 2026 to file the March Form 10-Q. The Company is required to amend its original plan to address the March Form10-Q filing delinquency to now address the June Form 10-Q filing delinquency and submit such amendment to Nasdaq no later than September 4, 2026. Because the March Form 10-Q remains delinquent, however, if the Staff accepts the proposed amended plan, the maximum period that the Staff may grant the Company to address the June Form 10-Q filing delinquency would be to October 15, 2026.
