Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On August 15, 2023, the Board of Directors (the “Board”) of the registrant (“Laser Photonics”) appointed Troy Parkos to fill the vacancy on the Board following the resignation of Glenn Peterson on December 16, 2022, as one of the three independent members of the Board who will also fill the independent director vacancy on the audit committee of the Board to meet Nasdaq Listing Rule 5605. Since June 1994, Mr. Parkos has been employed by Fastenal Company, a global distributor of wide-ranging industrial and construction products having annual sales in 2022 of approximately $7 billion. Mr. Parkos started his career at Fastenal Company as a sales representative from 1994 to 1997, becoming a Regional Sales Consultant Manager from 1997 to 2007, a District Manager from 2007 to 2018 and, since 2018, Vice President overseeing approximately 1,000 employees throughout the United States. Mr. Parkos has expertise in industrial sales, operations, and supply chain management, including partnering with Federal Government prime and DOD contractors and dealing with MRO and OEM manufacturers. Mr. Parkos graduated Magna Cum Laude from the University of Wisconsin with a Bachelor of Science in Industrial Technology Management in May 1994. Laser Photonics believes that the expertise that Mr. Parkos has with the procurement processes and supply chains of Fastenal Company’s customer base and experience in managing a large sales force will be valuable to it as it expands its sales.
Laser Photonics issued a press release on August 16, 2023, regarding the appointment of Mr. Parkos as a member of the Board, a copy of which is attached hereto and incorporated herein as Exhibit 99.1.

Laser Photonics Appoints Troy Parkos to its Board of Directors
Brings deep experience managing large industrial distribution networks
In combination with recent CFO hire, outstanding NASDAQ compliance items have been addressed
Orlando, FL August 17, 2023 – Laser Photonics Corporation (NASDAQ: LASE), (“LPC”), a leading global developer of CleanTech laser systems for laser cleaning and other materials applications, today announced Troy Parkos has been appointed to its board of directors, effective immediately. He will also serve as a member of the Company’s audit committee.

Parkos has spent the past 26 years at Fastenal Company, progressively increasing responsibilities within sales and territorial executive roles. He currently has P&L responsibility for the entire Midwest Region of Fastenal, encompassing nearly 1000 employees.
Parkos holds bachelor’s of science degree in industrial technology management with a minor in sales and management from the University of Wisconsin-Platteville, where he graduated Magna Cum Laude.
