ITEM 8.01 OTHER EVENTS

On May 29, 2026, Nasdaq notified us that it has determined that we have regained compliance with the Rule and that this matter is now closed with Nasdaq based on the filing of our quarterly report on Form 10-Q for the fiscal quarter ended March 31, 2026, on May 28, 2026.
