Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 23, 2024, Judy G. Hamel, Senior Vice President, General Counsel and Secretary of Lumentum Holdings Inc. (the “Company”), informed the Company that she would be retiring as General Counsel and Secretary following the appointment of her successor. Ms. Hamel’s intention to retire does not reflect any disagreement with the Company.
Ms. Hamel will remain employed by the Company for a period of time to assist in the transition.
