Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Resignation of Timothy O. Martin as Chief Operating Officer and Chief Financial Officer

On May 17, 2023, Torrid Holdings Inc. (the “Company”) issued a press release announcing, among other things, that on May 11, 2023, Mr. Timothy Martin resigned from his position as Chief Operating Officer and Chief Financial Officer of the Company, effective as of May 26, 2023.

Appointment of Interim Chief Financial Officer

On May 15, 2023, Ms. Paula Dempsey was appointed as Interim Chief Financial Officer of the Company, effective as of May 26, 2023.

Ms. Dempsey joined Torrid as Senior Vice President of Finance and Investor Relations in January 2023. Before joining Torrid, Ms. Dempsey had extensive experience in the retail sector, most recently at Mattress Firm, Inc., where she served as Vice President of Financial Planning and Analysis from December 2020 through January 2022, and as Senior Vice President of Corporate Finance from January 2022 to December 2022. Ms. Dempsey was also Vice President of Finance for Pricesmart, Inc. (NASDAQ: PSMT), from May 2019 to September 2019 and Vice President of Commercial Finance and Investor Relations from October 2019 to December 2020. Ms. Dempsey held various leadership roles in finance and financial planning and analysis including at Natural Grocers by Vitamin Cottage, Inc. from April 2017 through May 2019. Ms. Dempsey received an MBA with a focus on Finance, and a BA in Economics from Colorado State University.

Ms. Dempsey is not a party to any arrangement or understanding regarding her selection as an officer. There are no family relationships between Ms. Dempsey and any director or executive officer of the Company. Ms. Dempsey is not a party to any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

Torrid Announces Resignation of Chief Financial Officer and Chief Operating Officer CITY OF INDUSTRY, Calif., May 17, 2023 (BUSINESS WIRE) – Torrid Holdings Inc. (“Torrid” or the “Company”) (NYSE: CURV), a direct-to-consumer apparel, intimates, and accessories brand in North America for women sizes 10 to 30, today announced that Tim Martin, Chief Financial Officer and Chief Operating Officer, has resigned to pursue other opportunities. Mr. Martin will remain with the Company until May 26, 2023. Paula Dempsey, Senior Vice President of Finance and Investor Relations, will assume the role of interim CFO until a successor is named. Ms. Dempsey has extensive experience in the retail sector where she most recently was Senior Vice President of Corporate Finance for Mattress Firm. She has held senior leadership roles in publicly-held companies in finance and financial planning and analysis. Ms. Dempsey joined Torrid in January 2023.
