Item 8.01 Other Events
If an emerging growth company, indicate by check mark if the registrant has elected not to use the extended transition period for complying with any new or revised financial accounting standards provided pursuant to Section 13(a) of the Exchange Act. o On June 1, 2024, Park Hotels & Resorts Inc. (“Park”) completed the previously announced redemption of $338,527,000 aggregate principal amount of the 7.500% Senior Notes due 2025 (the “Notes”) issued by Park’s subsidiaries, Park Intermediate Holdings LLC, a Delaware limited liability company, PK Domestic Property LLC, a Delaware limited liability company, and PK Finance Co-Issuer Inc., a Delaware corporation (collectively, the “Issuers”), representing all of the outstanding Notes. The Notes were redeemed pursuant to the terms of an Indenture, dated as of May 29, 2020, as amended or supplemented, between the Issuers, Park, the other guarantors party thereto and The Bank of New York Mellon, as trustee, at a price equal to 100% of the principal amount of the Notes redeemed, plus accrued and unpaid interest up to, but excluding, June 1, 2024.
