Item 5.07 Submission of Matters to a Vote of Security Holders
On April 4, 2024, Cidara Therapeutics, Inc. (the “Company”) held its 2024 Special Meeting of Stockholders (the “Special Meeting”). As of February 27, 2024, the record date for the Special Meeting, 90,619,040 shares of common stock were outstanding and entitled to vote at the Special Meeting. A summary of the matters voted upon by stockholders at the Special Meeting, as well as the final voting results with respect to each matter, is set forth below.
Proposal 1. Approval of the Reverse Stock Split Proposal
The Company’s stockholders approved a series of alternate amendments to the Company’s Amended and Restated Certificate of Incorporation, to effect, at the discretion of the Company’s Board of Directors: (i) a reverse split of the Company’s common stock, at a ratio in the range of 1-for-10 to 1-for-30, inclusive; and (ii) if and only if the reverse stock split is approved and implemented, a reduction in the number of authorized shares of common stock, at a ratio that is equal to half of the reverse stock split ratio. The final voting results are as follows:

Proposal 2. Approval of an Adjournment of the Special Meeting, If Necessary, to Solicit Additional Proxies
