Item 7.01 Regulation FD Disclosure.

 

On October 30, 2025, Jamie Iannone, President and Chief Executive Officer of eBay Inc. (the “Company”), was interviewed on Fox Business’ The Claman Countdown and stated in response to a question about Q4 2025 “We gave [gross merchandise volume (“GMV”)] guidance of 4% - 6% for next year.” Mr. Iannone misspoke. He intended to say “for next quarter,” consistent with the Company’s guidance issued on October 29, 2025 for Q4 2025 in the Company’s earnings release, in which the Company presented a Q4 2025 GMV guidance range of 4% - 6%. In issuing this Form 8-K, the Company is not affirming or updating guidance but merely correcting the unintended comment.
