Item 7.01 Regulation FD Disclosure.

 

On October 30, 2025, Beneficient (the “Company”) issued a press release announcing that the Company had regained compliance with the Nasdaq Listing Rules regarding the Periodic Filing Requirement and the MVLS Requirement (each as defined below).

 

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Item 8.01 Other Events.

 

On October 29, 2025, the Company received notification from the Nasdaq Hearings Panel (the “Panel”) that the Company had regained compliance with respect to Nasdaq Listing Rules 5250(c)(1) and 5550(b) (the “Periodic Filing Requirement” and the “MVLS Requirement,” respectively). The Letter advised the Company that it remains noncompliant with respect to Nasdaq Listing Rule 5550(a)(2) (the “Bid Price Requirement”) and must regain compliance within the extension period granted by the Panel.

 

As previously disclosed, to the extent the Company has not demonstrated compliance with the Bid Price Requirement, the Company intends to seek stockholder approval to effect a reverse stock split of its Class A common stock, par value $0.001 per share (the “Class A Common Stock”), and Class B common stock, $0.001 par value per share (the “Class B Common Stock” and, together with the Class A Common Stock, the “Common Stock”). The Company anticipates the reverse stock split of the Common Stock will allow it to demonstrate compliance with the Bid Price Requirement within the extension period granted by the Panel.

 

Although the Company is taking definitive steps to evidence compliance with all applicable criteria for continued listing on The Nasdaq Capital Market, there can be no assurance that the Company will be able to timely regain compliance with the Bid Price Requirement within the extension period granted by the Panel.

Beneficient Regains Compliance with

Nasdaq Periodic Filing Requirement and Market Value of Listed Securities Requirement

 

DALLAS, October 30, 2025 (GLOBE NEWSWIRE) — Beneficient (NASDAQ: BENF) (the “Company”), a technology-enabled platform providing exit opportunities and primary capital solutions and related trust and custody services to holders of alternative assets through its proprietary online platform AltAccess, today announced that, by letter dated October 29, 2025, the Company was notified by The Nasdaq Stock Market, LLC (“Nasdaq”) that the Company had regained compliance with (i) the Nasdaq periodic reporting requirement by filing its Annual Report on Form 10-K for the fiscal year ended March 31, 2025, and the Quarterly Report on Form 10-Q for the quarter ended June 30, 2025, with the Securities and Exchange Commission, and (ii) the Nasdaq minimum $35 million market value of listed securities requirement as an alternative to Nasdaq’s minimum stockholders’ equity requirement.

 

The Company remains noncompliant with respect to the $1.00 per share bid price requirement and must regain compliance within the extension period granted by the Nasdaq Hearings Panel (the “Panel”) to avoid delisting. To the extent the Company has not regained compliance with the bid price requirement, the Company plans to seek stockholder approval to effect a reverse stock split of its common stock, which the Company anticipates will allow it to demonstrate compliance with the $1.00 bid price requirement for the requisite minimum 10-consecutive trading day period within the extension period granted by the Panel.
