Item 8.01. Other Events.

 

On January 21, 2025, 22nd Century Group, Inc. (the “Company”) received a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) confirming that the Company has regained compliance with the bid price requirement under Nasdaq Listing Rule 5550(a)(2). As a result, the Company’s hearing before the hearings panel has been cancelled and the Company’s common stock will remain listed on Nasdaq.

 

On January 27, 2025, the Company issued a press release regarding Nasdaq compliance. A copy of the press release is attached hereto as Exhibit 99.1.

22nd Century Regains Full Compliance with Nasdaq Continued Listing Standards

 

MOCKSVILLE, N.C., January 27, 2025 — 22nd Century Group, Inc. (Nasdaq: XXII), a tobacco products company that is leading the fight against nicotine and believes smokers should have a choice about their nicotine consumption, today announced that it has received formal written notice from The Nasdaq Stock Market LLC (“Nasdaq”) that the Company has regained compliance with the Nasdaq Minimum Bid Price Requirement for continued listing pursuant to Nasdaq Listing Rule 5550(a)(2).
