Item 8.01 Other Events
On March 25, 2024, Better Choice Company, Inc., a Delaware corporation (the “Company”), filed a lawsuit against Alphia Inc., a Delaware corporation (“Alphia”), in the Business Court Division, Circuit Court of the 13th Judicial Circuit located in Hillsborough County, Florida (the “Lawsuit”). In the Lawsuit, the Company alleges, among other things, that Alphia exercised its right of first refusal to purchase the Company’s wholly owned subsidiary, Halo, Purely for Pets, Inc. a Delaware corporation (“Halo”), and then breached its contractual obligations to consummate such acquisition. The Company is seeking monetary damages, as well as the alternative remedy of specific performance from Alphia. The Lawsuit is currently ongoing.
