Item 7.01 Regulation FD Disclosure

 

As previously disclosed, Kernel Group Holdings, Inc., a special purpose acquisition company incorporated as a Cayman Islands exempted company (“Kernel”), entered into a Business Combination Agreement (the “Business Combination Agreement”), dated as of March 3, 2023, by and among (i) Kernel, (ii) AIRO Group, Inc., a Delaware corporation and a wholly-owned subsidiary of Kernel (“ParentCo”), (iii) Kernel Merger Sub, Inc., a Delaware corporation and a wholly-owned subsidiary of ParentCo, (iv) AIRO Merger Sub, Inc., a Delaware corporation and a wholly-owned subsidiary of ParentCo, (v) VKSS Capital, LLC, a Delaware limited liability company and also in the capacity as Kernel’s Sponsor, (vi) Dr. Chirinjeev Kathuria, in the capacity as the representative for the company, and (vii) AIRO Group Holdings, Inc., a Delaware corporation (“AIRO Group Holdings” or “AIRO”), pursuant to which, among other things, Kernel will change its jurisdiction of incorporation by deregistering as a Cayman Islands exempted company and continuing and domesticating as a corporation incorporated under the laws of the State of Delaware.

 

Attached as Exhibit 99.1 to this Current Report on Form 8-K is an investor presentation (“Investor Presentation”) that will be used by Kernel and AIRO Group Holdings in connection with the transactions contemplated by the Business Combination Agreement.
