Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 26, 2024, Karen M. Bohn notified Otter Tail Corporation (the “Company”) of her intention to not stand for reelection and instead retire from the Company’s Board of Directors effective at the conclusion of her current term, which expires at the time of the 2024 Annual Meeting of Shareholders. Ms. Bohn’s decision to not stand for reelection is not the result of any disagreement with the Company’s operations, policies or procedures.
