Regulation FD Disclosure.

The Company issued a press release on February 18, 2025 announcing that its Board of Directors declared a quarterly dividend of $0.04 per share of common stock outstanding. The dividend will be paid on March 25, 2025 to stockholders of record as of the close of business on March 3, 2025. A copy of the press release is included as Exhibit 99.1 hereto and incorporated by reference.
