As previously reported on Form 8-K filed on August 7, 2023 by Astrotech Corporation (the “Company”), on August 1, 2023, Armanino LLP notified the Company of its decision to resign as the Company’s independent registered public accounting firm following the filing of the Company’s Annual Report on Form 10-K for the fiscal year ended June 30, 2023, which filing occurred on September 28, 2023.

 

On September 20, 2023, the Audit Committee of the Board of Directors of the Company approved the appointment of RBSM, LLP (“RBSM”) as the Company’s new independent registered public accounting firm. Following completion of RBSM’s client acceptance procedures, an engagement letter with RBSM was executed on October 12, 2023. RBSM’s appointment is for the fiscal year ended June 30, 2024.

 

During the years ended June 30, 2022 and 2023, and the subsequent interim period, the Company did not consult RBSM with respect to either (i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, and no written report or oral advice was provided to the Company by RBSM that RBSM concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing or financial reporting issue, or (ii) any matter that was either the subject of a disagreement, as that term is described in Item 304(a)(1)(iv) of Regulation S-K under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and the related instructions to Item 304 of Regulation S-K under the Exchange Act, or a reportable event, as that term is described in Item 304(a)(1)(v) of Regulation S-K under the Exchange Act.
