ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

Effective April 1, 2024 (the “Effective Date”), Mr. Kent Y. Mouton will no longer serve as Executive Vice President and General Counsel of Kennedy-Wilson Holdings, Inc. and its subsidiaries (the “Company”). As of the Effective Date, Mr. Mouton will serve as the Company’s Senior Adviser.

In addition, as of the Effective Date, Mr. In Ku Lee will serve as the Company’s Executive Vice President and General Counsel.
