Item 8.01 Other Events

As Allegiant Travel Company (the “Company”) is putting the finishing touches on its Sunseeker Resort in Port Charlotte, Florida, the Company has encountered unavoidable delays attributable to the lasting effects of Hurricane Ian. Because of that delay, the project has encountered seasonal weather issues in recent weeks, as well as ongoing, limited availability of construction personnel. With these delays, the Company now expects the Resort to open to the public later in fourth quarter 2023. The Company does not expect the delays to materially impact the construction budget. The Company will publicly announce an opening date once the date is finalized.
