Item 8.01. Other Events.
Postponement of Extraordinary General Meeting
On March 12, 2025, SK Growth Opportunities Corporation (the “Company”) filed a definitive proxy statement (the “Extension Proxy Statement”) for an extraordinary general meeting (the “Extension Meeting”) of its shareholders originally scheduled to be held on March 27, 2025, at 4:00 p.m. Eastern Time to approve, among other things, an amendment to the Company’s amended and restated memorandum and articles of association (the “Articles”) to extend the date by which the Company has to complete an initial business combination from March 31, 2025 to June 22, 2025 (the “Extension”), or such earlier date as the Company’s board of directors may approve in accordance with the Articles. Defined terms used but not defined herein have the meanings set forth in the Extension Proxy Statement.
The board of directors of the Company has decided to postpone the Extension Meeting to March 28, 2025, at 11:00 a.m., Eastern Time to allow additional time for the Company to engage with its shareholders.
The postponed Extension Meeting will be held on March 28, 2025, at 11:00 a.m., Eastern Time, at the offices of Wilson Sonsini Goodrich & Rosati, 650 Page Mill Road, Palo Alto, California 94304 and conducted remotely by teleconference. Shareholders can attend the postponed meeting by visiting https://www.cstproxy.com/skgrowthopportunities/ext2025. If you do not have access to internet, you can listen only to the meeting by dialing +1 800-450-7155 (toll-free) (or +1 857-999-9155 if you are located outside the United States and Canada (standard rates apply)) and when prompted enter the pin number 6141921#. Please note that you will not be able to vote or ask questions at the Extension Meeting if you choose to participate telephonically.
Redemption Requests
On March 10, 2025, the Company filed a definitive proxy statement (the “Business Combination Proxy Statement” and together with the Extension Proxy Statement, the “Proxy Statements”) for an extraordinary general meeting (the “Business Combination Meeting” and together with the Extension Meeting, the “Meetings”) of its shareholders scheduled to be held on March 30, 2025, at 4:00 p.m. Eastern Time to approve, among other things, the proposed Business Combination with Webull.
The Company’s public shareholders are entitled to submit their Public Shares for redemption in connection with both the Extension Meeting and the Business Combination Meeting. On March 3, 2025 and March 6, 2025, the redemption price per Public Share was approximately $11.69, respectively, which is expected to be the same approximate amount two (2) business days prior to each of the Extension Meeting and Business Combination Meeting.
Shareholders who wish to ensure that their Public Shares are redeemed in the event that either the Extension is implemented or the Business Combination is consummated must instruct the Company’s transfer agent, Continental Stock &Transfer Company (the “Transfer Agent”), to redeem such shares in connection with both the Extension Meeting and the Business Combination Meeting, no later than the redemption deadline for each meeting, which is March 26, 2025 at 5.00 p.m., Eastern Time and March 27, 2025 at 5:00 p.m., Eastern Time, respectively.
The Company cannot assure you whether it will hold the Extension Meeting on March 28, 2025, or the Business Combination Meeting on March 30, 2025. If the Company holds the Extension Meeting and implements the Extension, any Public Shares submitted for redemption in connection with the Extension Meeting will be redeemed; however, Public Shares submitted for redemption solely in connection with the Business Combination Meeting will not be redeemed in connection with the Extension, and such shareholders will remain shareholders of the Company. If the Company holds the Business Combination Meeting and completes the Business Combination, any Public Shares submitted for redemption in connection with the Business Combination Meeting will be redeemed; however, Public Shares submitted for redemption solely in connection with the Extension Meeting will not be redeemed in connection with the Business Combination, and such shareholders will remain shareholders of the combined company.
If the Company does not hold the Extension Meeting and implement the Extension, any Public Shares originally submitted for redemption in connection with the Business Combination Meeting and also instructed to be redeemed in connection with the Extension Meeting will be automatically subject to redemption in connection with the consummation of the Business Combination, unless you withdraw such redemption request.
Shareholders who wish to withdraw their previously submitted redemption request may do so prior to the taking of the shareholders’ vote at the Business Combination Meeting and/or the Extension Meeting, or thereafter with the Company’s consent, by requesting that the transfer agent return such shares.
