Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 23, 2025, John Sweet, Chairman of the Board of Directors of City Office REIT, Inc., passed away. In light of Mr. Sweet’s passing, Sabah Mirza, who currently serves as a member of our Board of Directors, has been appointed to serve as Chairwoman of the Board of Directors. In addition, Michael Mazan, who currently serves as a member of the Board, has been appointed to become a member the Compensation Committee of our Board of Directors, thus filling the vacancy on the Committee created by Mr. Sweet’s passing.
