On September 30, 2025, WaterBridge Infrastructure LLC (the “Company”) issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference, announcing the pricing of the previously announced private placement of $825 million aggregate principal amount of 6.25% Senior Notes due 2030 and $600 million aggregate principal amount of 6.50% Senior Notes due 2033, by WBI Operating LLC.

WaterBridge Announces Pricing of Upsized $1,425,000,000 Offering of Senior Notes

September 30, 2025

 

Title: Executive Vice President, Chief Financial Officer HOUSTON—(BUSINESS WIRE)—WaterBridge Infrastructure LLC (NYSE: WBI; NYSE Texas: WBI) (“WaterBridge” or the “Company”) announced today that WBI Operating LLC, a subsidiary of the Company, has priced its offering of $825 million aggregate principal amount of 6.25% senior unsecured notes due 2030 at par and $600 million aggregate principal amount of 6.50% senior unsecured notes due 2033 at par (the “Notes”). The offering is expected to close on October 6, 2025, subject to customary closing conditions.

WaterBridge intends to use the net proceeds from the offering of the Notes, together with cash on hand, to repay all outstanding borrowings under the legacy term loan facilities and for general corporate purposes and working capital. As of September 29, 2025, there was an aggregate amount of $1.712 billion outstanding borrowings under the two term loan facilities.

The Notes to be offered have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Notes are being offered only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States pursuant to Regulation S under the Securities Act.
