Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 17, 2025, Prologis announced that Joseph Ghazal, Chief Investment Officer, has informed the company of his decision to step away from his role as an executive officer effective July 1, 2025. He will remain with Prologis until July 10, 2026, to support a smooth transition.
