EXPLANATORY NOTE

On May 7, 2025, Justin Mirro tendered his resignation as a non-executive director of the Board of Directors (the “Board”) of Wallbox N.V. (the “Company”) and the Board’s Audit Committee, in each case, effective on May 7, 2025. Mr. Mirro’s resignation is for personal reasons and there are no disagreements between Mr. Mirro and the Company. His departure is not related to the operations, policies or practices of the Company or any issues regarding accounting policies or practices.
