Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 12, 2025, Jesse Krynak notified the Board of Directors (the “Board”) of Kinetik Holdings Inc. (the “Company”) that he would not be seeking reelection as a Board member at the Company’s upcoming 2025 annual meeting of stockholders and would be resigning from the Board effective immediately. Mr. Krynak’s departure was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
