ITEM 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 30, 2025, Reuben Jeffery III notified Affiliated Managers Group, Inc. (“AMG”) of his decision to retire from the Board of Directors (the “Board”), effective immediately. “On behalf of our Board and AMG’s management team, we thank Reuben for his distinguished service and strategic insights,” stated Dwight D. Churchill, who has been named Chair of the Board. “Reuben has provided valuable perspective and guidance, and we wish him the very best in his future endeavors.”
