Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(b) On November 19, 2024, Stephen J. Muscato notified Vistra Corp. (the “Company”) that, after more than 25 years of service, he will resign from his position as Executive Vice President and President of Vistra Wholesale Operations & Development effective January 1, 2025, and retire from the Company on or about April 1, 2025. To support a smooth transition of his responsibilities, Mr. Muscato will continue as an employee of the Company in a non-executive officer capacity under the terms of his existing Amended and Restated Employment Agreement dated as of May 5, 2022, which will terminate upon his retirement. Effective on January 1, 2025, Mr. Muscato’s areas of responsibility will be assumed by current members of the leadership team.
