Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 24, 2024, Jack Nielsen, a member of the board of directors (the “Board”) of IO Biotech, Inc. (the “Company”), notified the Company of his resignation from the Board, effective that same date.

Mr. Nielsen’s resignation is for health reasons and is not due to any disagreement with the Company or the Board on any matter relating to the Company’s operations, policies or practices.
