We have adopted a distributed work model and, therefore, have no formal headquarters. This address represents our “principal executive office,” which we are required to identify under Securities and Exchange Commission rules.

 

 

 


Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 10, 2024, Sharon Rothstein informed Block, Inc. (the “Company”) that she would not stand for re-election as a Class III member of the Board of Directors of the Company (the “Board”) at the Company’s 2024 annual meeting of stockholders (the “Annual Meeting”) expected to take place on June 18, 2024. She will continue to serve through the end of her current term which ends on the date of the Annual Meeting. Ms. Rothstein’s decision to not stand for re-election was a result of wanting to devote more time to other professional and personal activities and was not a result of any disagreements with the Company on any matter relating to the Company’s operations, policies or practices. The Board thanks Ms. Rothstein for her service and valuable contributions to the Company.

The Company anticipates that the Board will decrease the size of the Board from ten to nine directors, effective at the Annual Meeting.
