Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
    (b) On April 15, 2024, Robert Kalsow-Ramos and Matthew Nord informed the Board of Directors of TD SYNNEX Corporation (the “Company”) that they will resign from the Company’s Board of Directors, effective as of April 15, 2024. Neither Mr. Kalsow-Ramos nor Mr. Nord has any disagreements with the Company.
Mr. Kalsow-Ramos and Mr. Nord were initially nominated to the Company’s Board of Directors pursuant to the terms of the Investor Rights Agreement dated as of September 1, 2021 between the Company and an affiliated entity of Apollo Global Management, Inc.
Following the resignations, the size of the Company’s Board of Directors was reduced from eleven (11) directors to nine (9) directors.
