Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 16, 2023, Al Spencer, Vice President, Controller and principal accounting officer of JetBlue Airways Corporation (“JetBlue” or the “Company”), tendered his resignation from his roles with the Company, effective as of December 1, 2023. Following December 1, 2023, Mr. Spencer will remain with the Company in a consulting capacity through January 1, 2024. The Company has commenced a search for a successor.
