Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 12, 2025, Michele M. Meyers, the Company’s Vice President of Accounting, Chief Accounting Officer and principal accounting officer, notified the Company of her resignation effective January 2, 2026 to pursue another opportunity. Ms. Meyers’ resignation is not the result of any disagreement with the Company on any matter related to the Company’s operations, policies or procedures.
