Item 8.01.
Other Events.

On December 3, 2025, BioCryst Pharmaceuticals, Inc. (“BioCryst”) issued a press release announcing early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), with respect to its previously announced proposed acquisition (the “Merger”) of Astria Therapeutics, Inc. (“Astria”). A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.

Termination of the waiting period under the HSR Act satisfied one of the conditions for consummation of the Merger. BioCryst expects the Merger to close in the first quarter of 2026, subject to other customary closing conditions.

BioCryst Receives Early Termination of HSR Waiting Period for Astria Acquisition

RESEARCH TRIANGLE PARK, N.C. – December 3, 2025 – BioCryst Pharmaceuticals, Inc. (Nasdaq: BCRX) today announced that it has received early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), with respect to BioCryst’s proposed acquisition of Astria Therapeutics, Inc. (the “Merger”).

Termination of the waiting period under the HSR Act satisfied one of the conditions for consummation of the Merger. BioCryst expects the Merger to close in the first quarter of 2026, subject to other customary closing conditions.
