Item 8.01

Other Events.

On August 21, 2023, Ionis Pharmaceuticals, Inc. (“Ionis”), closed on the sale of Lots 21 and 22 in Carlsbad Oaks North Business Park, Carlsbad, California (the “Property”) pursuant to the purchase and sale agreement entered into between Ionis and Oxford I Asset Management USA Inc. (“Oxford”) on October 20, 2022.

On August 21, 2023, Ionis and Lots 21 & 22 Owner (DE) LLC, an affiliate of Oxford, subsequently entered into a lease agreement (“Lease”) for the Property. A summary of the terms of the Lease is included in the 8-K filed by Ionis on October 24, 2022, available here.
