(b) Departure of Director
On January 23, 2024, Philip Knisely, a member of the Board of Directors (the “Board”) of Beacon Roofing Supply, Inc. (the “Company”), submitted his resignation from the Board to the Company, effective the same date. Mr. Knisely indicated that his resignation from the Board was not the result of any disagreement with management or the Board.
