Item 7.01 Regulation FD Disclosure

 

On March 14, 2024, Oregon Health Authority (“OHA”) published a notice (the “Notice”), pursuant to which OHA stated it was commencing a comprehensive review of the proposed acquisition of Amedisys Inc. (“Amedisys”) by UnitedHealth Group Incorporated (“UnitedHealth Group”). The Notice states that the comprehensive review will be completed within 180 days of receipt of the Notice of Material Change Transaction Form, which the OHA confirmed on December 4, 2023, subject to tolling or extension in accordance with applicable statutes and administrative rules. UnitedHealth Group and Amedisys’ obligations to effect the proposed acquisition of Amedisys are each subject to, among other things, approval from the OHA in connection with the Health Care Market Oversight Program Notice of Material Change filed with respect to the proposed acquisition.
