Submission of Matters to a Vote of Securities Holders.

 

On December 19, 2023, Churchill Sponsor VII LLC (the “Holder”), being the sole holder of shares of Class B common stock, par value $0.0001 per share, of Churchill Capital Corp VII (the “Company”), acting by written consent in accordance with the Company’s Amended and Restated Certificate of Incorporation, re-elected the Company’s Class I directors, Malcolm S. McDermid and Karen G. Mills, to continue to serve as members of the board of directors of the Company, each with a term expiring at the Company’s annual meeting to be held in 2026.
