Item 8.01 Other Events.

 

As previously disclosed, RF Acquisition Corp., a Delaware corporation (the “SPAC”) has called a special meeting of shareholders of the SPAC to be held at 9:00 a.m. Eastern Time on December 20, 2023 (the “Special Meeting”) for the sole purpose of considering and voting on, among other proposals, (i) a proposal to amend the SPAC’s second amended and restated certificate of incorporation (the “Existing Charter”) to extend the date by which the SPAC has to consummate an initial business combination by up to nine months from December 28, 2023 to September 28, 2024, composed of an initial three-month extension and six subsequent one-month extensions and (ii) a proposal to amend the Existing Charter to remove the net tangible asset requirement in order to expand the methods that the SPAC may employ so as not to become subject to the “penny stock” rules of the United States Securities and Exchange Commission (the “SEC”). Each such proposal is described in more detail in the definitive proxy statement related to the Special Meeting filed by the SPAC with the SEC on December 8, 2023.

 

The proceeds held in the trust account will continue to be invested in United States government treasury bills with a maturity of 185 days or less or in money market funds investing solely in U.S. Treasuries and meeting certain conditions under Rule 2a-7 under the Investment Company Act of 1940, as amended, as determined by the SPAC, or in an interest bearing demand deposit account, until the earlier of: (i) the completion of the SPAC’s initial business combination, and (ii) the liquidation and distribution of the proceeds from the trust account.

 

Important Information for Investors and Shareholders

 

As previously disclosed in a Current Report on Form 8-K filed with the SEC on October 23, 2023, the SPAC entered into an agreement and plan of merger, dated October 18, 2023, (as amended by that certain First Amendment to Merger Agreement on December 1, 2023, and as it may be further amended, supplemented or otherwise modified from time to time, the “Merger Agreement”) with GCL Global Holdings Ltd, a Cayman Islands exempted company (“PubCo”), Grand Centrex Limited, a British Virgin Islands business company, GCL Global Limited, a Cayman Islands exempted company limited by shares (the “Company”), and, for the limited purposes set forth therein, RF Dynamic LLC, a Delaware limited liability company. PubCo intends to file a registration statement on Form F-4 with the SEC, which will include a document that serves as a prospectus and proxy statement, referred to as a proxy statement/prospectus. A proxy statement/prospectus will be sent to all SPAC shareholders. The SPAC and PubCo also will file other documents regarding the proposed transaction with the SEC. Before making any voting decision, investors and security holders of the SPAC are urged to read the registration statement, the proxy statement/prospectus and all other relevant documents filed or that will be filed with the SEC in connection with the proposed transaction as they become available because they will contain important information about the proposed transaction.
