Item 8.01.    Other Events.
Announcement of New Share Repurchase Program for 2026
On December 1, 2025, the board of directors of Texas Capital Bancshares, Inc. (the “Company’) authorized a new share repurchase program for calendar year 2026 under which the Company may repurchase up to $200.0 million of shares of its outstanding common stock. Any repurchases under the repurchase program will be made in accordance with applicable securities laws from time to time in open market or private transactions. The extent to which the Company repurchases shares, and the timing of such repurchases, will be at the Company’s discretion and will depend upon a variety of factors, including the market price of the Company's common stock, general market and economic conditions, applicable legal and regulatory requirements, alternative investment opportunities and the Company’s performance, liquidity and capital levels.
The new repurchase program will be effective December 12, 2025 and will expire on December 31, 2026. The new share repurchase program will replace the current $200 million repurchase program that the Company previously announced on January 22, 2025 and that was set to expire on January 31, 2026. As of December 1, 2025, the Company had repurchased approximately 2.0 million shares of its common stock at a total cost of $164.0 million under the current program, including 1.2 million shares repurchased during the fourth quarter of 2025 at a total cost of $105.2 million.
