Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 6, 2025, the Board of Directors of American Axle & Manufacturing Holdings, Inc. (“AAM”), elected David B. Walker as an independent director of the Board. Mr. Walker will serve as a Class II director and will serve until AAM's 2028 annual general meeting of shareholders when he is expected to stand for re-election by a vote of AAM's shareholders.

Mr. Walker is eligible to participate in AAM's compensation arrangements for non-employees directors, as described in AAM's definitive proxy statement for its 2025 annual meeting of stockholders, filed with the SEC on March 20, 2025.

Mr. Walker is a retired Vice Chairman of Investment Banking at J.P. Morgan. “I am pleased to welcome David to the AAM Board of Directors,” said David C. David Walker Director since 2025 Mr. Walker retired from J.P. Morgan in June 2025. In 1990, Mr. Walker joined J.P. Morgan in the Equity Capital Markets group where he was responsible for the origination and execution of equity offerings including IPOs, rights offerings, secondary offerings and convertible financings. From 1996 through 1998, he ran the firm’s Equity Syndicate Group in London. In 2008, he was named Head of J.P. Morgan’s Automotive Group and in 2012 he was named Global Co-Head of J.P. Morgan’s Diversified Industries Group. He was named Vice Chairman of Investment Banking in February 2018. Mr. Walker graduated cum laude from Amherst College in 1985 and received his MBA in finance from the Wharton School at the University of Pennsylvania in 1990. Mr. Walker currently serves on the Board of Directors for The Arc of Westchester Foundation.
