Item 8.01 Other Events.

If an emerging growth company, indicate by check mark if the registrant has elected not to use the extended transition period for complying with any new or revised financial accounting standards provided pursuant to Section 13(a) of the Exchange Act. o As part of the PetMeds Express, Inc. Board of Directors’ (“Board”) ongoing Board composition and succession planning, the Board has appointed Leslie C. G. Campbell as Chairman of the Board effective January 5, 2024. Ms. Campbell succeeds Dr. Gian Fulgoni who will remain on the Board and will also continue to chair the Board’s Corporate Governance and Nominating Committee. Ms. Campbell has served on the Board since 2018, currently serves as Chair of the Compensation Committee and a member of the Audit Committee and Corporate Governance and Nominating Committee, and previously served as Chairman of the Corporate Governance and Nominating Committee.
