ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 20, 2024, Lee A. McIntire notified the Board of Directors (the “Board”) of Ovintiv Inc. (the “Corporation”) that he will retire as a director at the end of his current term and will not stand for re-election as a director of the Corporation at the Corporation’s 2024 Annual Meeting of Stockholders. Mr. McIntire’s decision to retire was not based on any disagreement with the Corporation on any matter relating to the Corporation’s operations, policies or practices. The Board intends to fix the number of directors at eleven effective the end of his term. The Corporation thanks Mr. McIntire for his service.
