Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 15, 2023, it was determined that Richard Scott, Senior Vice President, Chief Legal Officer and Secretary, will separate from CalAmp Corp. (the “Company”) effective December 29, 2023. The decision was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Scott’s separation from employment will be treated as a termination without “Cause” for purposes of his Executive Employment Agreement with the Company dated November 1, 2021, and he will receive severance payments and benefits in accordance with the terms of that agreement.
