Attached to this Report on Form 6-K as Exhibit 99.1 is a press release dated May 30, 2025 of Diana Shipping Inc. (the "Company"), announcing the results of the Company’s 2025 Annual Meeting of Shareholders.

Effective as of the Company’s 2025 Annual Meeting of Shareholders, Konstantinos Fotiadis, a member of the board of directors of the Company (the “Board”) resigned from the Board in order to pursue other activities and not as the result of any disagreement with the Company or the Board. In addition, Mr. Psaltis previously informed the Board that he did not wish to run for reelection at the 2025 Annual Meeting of Shareholders. As a result of this resignation and retirement, the size of the Board decreased from eleven to nine directors.

DIANA SHIPPING INC. ANNOUNCES RESULTS OF
2025 ANNUAL MEETING OF SHAREHOLDERS

ATHENS, GREECE, May 30, 2025 - Diana Shipping Inc. (NYSE: DSX) (the "Company"), a global shipping company specializing in the ownership and bareboat charter-in of dry bulk vessels, today announced that the Company's Annual Meeting of Shareholders (the "Meeting") was duly held on May 28, 2025, in a virtual format only via the Internet. Broadridge Financial Solutions, Inc. acted as inspector of the Meeting.

At the Meeting, each of the following proposals, which are set forth in more detail in the Notice of Annual Meeting of Shareholders and the Company's Proxy Statement sent to shareholders on or around April 29, 2025, was approved and adopted:


1.
The election of three Class II Directors of the Company, to serve until the Company's 2028 Annual Meeting of Shareholders.


2.
The approval of the appointment of Deloitte Certified Public Accountants S.A. as the Company’s independent auditors for the fiscal year ending December 31, 2025.


3.
The approval of the amendment to the Company’s Amended and Restated Articles of Incorporation authorizing the Board of Directors to effect one or more reverse stock splits of the Company’s issued Common Shares, in the aggregate ratio of not more than 1-for-100, with the exact ratio to be determined by the Board of Directors in its discretion

Diana Shipping Inc. is a global provider of shipping transportation services through its ownership and bareboat charter-in of dry bulk vessels. The Company’s vessels are employed primarily on short to medium-term time charters and transport a range of dry bulk cargoes, including such commodities as iron ore, coal, grain and other materials along worldwide shipping routes.
