Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Michael G. Troyanovich, Secretary and General Counsel of Titan International, Inc. ("Company"), has informed the Company that he would be retiring from the Company. Mr. Troyanovich will remain with the Company through December 31, 2024 in an advisory capacity to assist with the transition of his job responsibilities. The Company would like to extend our appreciation to Mr. Troyanovich for his many years of dedicated service to the Company.
