Item 8.01 Other Events.
On May 16, 2025, Columbia Banking System, Inc., parent company of Umpqua Bank, announced its Board of Directors has approved a quarterly cash dividend in the amount of $0.36 per common share. The dividend is payable June 16, 2025, to shareholders of record as of May 30, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference in its entirety.

Columbia Banking System Announces $0.36 Per Common Share Dividend
TACOMA, Wash., May 16, 2025 – Columbia Banking System, Inc. (“Columbia” Nasdaq: COLB), parent company of Umpqua Bank, today announced its Board of Directors has approved a quarterly cash dividend in the amount of $0.36 per common share, payable June 16, 2025, to shareholders of record as of May 30, 2025.
