Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of August 1, 2023, Brian D. Schmitt retired from his role as Executive Vice Chairman of Colony Bankcorp, Inc. (the “Company”) and its wholly owned banking subsidiary, Colony Bank. Mr. Schmitt, who will remain on the Board of Directors of the Company and Colony Bank, has served as Executive Vice Chairman of the Company since the merger of the Company and SouthCrest Bank in August 2021.
 
The Employment Agreement between the Company and Mr. Schmitt dated as of July 30, 2021 expired by its terms on August 1, 2023.
